WEB DESIGN TERMS & CONDITIONS |
GENERAL
It is the customer’s responsibility to check ensure that any website is lawful, does not infringe any copyright or any other laws. It is also the customer’s responsibility to carry out any market research as to the viability and profitability of any project before accepting any quote.
Bold Image reserve the right to refuse to construct a website that we may judge as unfit due to content or otherwise. This includes, but is not limited by, websites containing adult oriented material such as pornography, websites which promote hatred towards persons belonging to any ethnic group, religion or sexual orientation and websites which infringe copyright or are contrary to UK laws.
All websites are designed to be compatible with Internet Explorer 5 and above. Websites are also compatible with Netscape and Mozilla, however some features may not always be supported by these browsers. All websites are optimised for viewing at a 1024 x 800 resolution but shall be usable at resolutions from 800 x 600 and upwards.
COPYRIGHT
& TRADEMARKS
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Bold Image for inclusion in any project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Bold Image and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
WEBSITE MAINTENANCE & UPDATES
This agreement allows for minor website maintenance to pages over a one month period, up to an average of one half hour per regular website, including updating links and making minor changes to text. It does not include updating or replacing a majority of the text from a page with new text, major page reconstruction, new pages and navigation structure changes.
The period of one month begins on the date the client’s website has been published. If the client's web design package includes database activities, then very minor page code changes will be accepted under this maintenance plan.
Major page, code and / or database structural changes will be charged at our current hourly rate and invoiced under our usual terms and conditions.
COMPLETION DATE
Bold Image and the client must work together to complete the web design project in a timely manner. We agree to work expeditiously to complete the web design project no later than 60 days after the client has submitted all necessary materials. If the client does not supply Bold Image with complete text and graphic content for this web design project within 45 days of the date this agreement was signed, the entire amount of the agreement becomes due and payable. If the client still has not submitted all the required contents within 60 days after signing this agreement, an additional continuation fee of 15% of the total agreement price will be assessed for each month until the web design project is published or the client cancels the web design project in writing.
PROJECT DELIVERY
The final website will be published to the client's hosting service or delivered via CD upon receipt of the final payment.
Hosting services require a separate contract with Bold Image. The client agrees to select a hosting service which allows Bold Image full access to the client's account via FTP. The client will be solely responsible for all hosting service charges.
The client is ultimately responsible for checking the correctness of the website before they give Bold Image permission to make the website publicly available.
When a client agrees that a website can be made publicly available they are agreeing that the design and development of the website has satisfied all their requirements.
ELECTRONIC COMMERCE LAWS
The client agrees that the client is solely responsible for complying with such laws, taxes and tariffs and will hold harmless, protect and defend Bold Image and its subcontractors from any claim, suit, penalty, tax or tariff arising from the client's exercise of Internet electronic commerce.
WEB DESIGN PROJECT COPYRIGHT
Bold Image owns copyright to the finished design. The client will be assigned rights to use the web design project as a website, once final payment under this agreement and any additional charges incurred have been paid.
Rights to photos, graphics, source code and computer programs are specifically not transferred to the client and remain the property of their respective owners.
Bold Image and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios. All web design projects will contain a graphical link to the Bold Image website. If this is unacceptable to the client, an additional surcharge of 10% of the final project cost will be added to the final statement and bill.
PRICES & PAYMENTS
All prices exclude VAT at 17.5% unless otherwise stated.
Quotes are valid for 28 days.
Payments must be made promptly based on the schedule below.
A deposit of £250 or 20% of the quoted cost (which ever is the greater) is required to commence work on any web design project.
Full and complete payment is required within 14 days of the final invoice.
Any payment made by credit card will incur a 5% handling fee.
This will be invoiced and will be added to the total outstanding debt owed by the customer.
Any payment returned by a bank or credit card company will incur a £100 administration charge. This will be invoiced and will be added to the total outstanding debt owed by the customer.
Delinquent bills will be assessed a £100 charge if payment is not received within 14 days of the due date.
If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency.
Bold Image reserves the right to remove any web design project from viewing on the Internet until final payment is made.
In case collection proves necessary, the client agrees to pay all fees incurred by that process.
This agreement becomes effective only when signed by Bold Image and the client.
Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this agreement was entered into in the UK and any dispute will be litigated or arbitrated in the UK.
Adding of Meta Tags (Description and Keywords) and the submission of the web design project to Web Search engines and updating only occur after the full final payment is made. All payments will be made in Pounds Sterling.
OUR HOURS OF WORK
The staff at Bold Image will always endeavor to make themselves available as much as possible to answer your emails, phone calls, assist with your troubleshooting, etc., but we do have most weekends and evenings off.
